Important Availability Notice
These Earn & Staking Terms do not mean that an Earn, staking, savings, yield, or similar product is currently live, available, licensed, authorised, or suitable in every jurisdiction. These Terms apply only if and when GroveX expressly makes a specific product available to you and you accept the applicable product offer and terms.
1. Relationship to the General Terms
These Earn & Staking Terms supplement the applicable GroveX Terms of Service and Terms & Conditions. If a specific product offer contains additional or different terms, the product-specific terms apply to that product to the extent of any inconsistency.
2. Eligibility and Jurisdiction
A product may be limited by country, residence, account type, asset, verification status, risk classification, sanctions controls, product capacity, or applicable legal and regulatory requirements.
GroveX may require KYC, source-of-funds information, enhanced due diligence, or other information before allowing a subscription, redemption, transfer, or reward payment.
3. Product Information
Before subscribing, the relevant product interface or offer will identify material terms where applicable, which may include the supported asset, subscription period, flexible or fixed term, reward methodology, indicative or fixed rate, lock period, minimum or maximum amount, redemption rules, fees, distribution timing, and material product-specific risks.
Users must review the product information before subscribing.
4. How Rewards May Be Generated
Depending on the product, rewards may arise from blockchain protocol staking, validator or delegation activity, third-party or protocol arrangements, promotional arrangements, or another mechanism expressly described in the product offer.
GroveX does not represent that every Earn product constitutes native blockchain staking. The exact reward source and structure will be described for the relevant product where material.
5. Rates and Rewards
Rates shown as APR, APY, estimated yield, target yield, projected reward, or similar are not guarantees unless the specific product terms expressly state that a rate is fixed for a defined period.
Variable rates may increase or decrease. Actual rewards may differ because of protocol performance, validator performance, participation levels, network conditions, fees, slashing, product utilisation, technical events, or other factors described in the relevant product.
Past or displayed rates are not a guarantee of future rewards.
6. Authorisation to Process Assets
By subscribing to a product, you authorise GroveX to process, pool, delegate, stake, transfer, or otherwise use the subscribed Digital Assets only to the extent reasonably necessary to operate the product as described in the applicable product terms.
The product may involve third-party validators, protocols, custodians, infrastructure providers, or other service providers where disclosed or reasonably necessary to operate the product.
7. Lock-Ups and Redemption
Some products may be flexible and others may require a fixed term or lock-up period. Redemption may not be immediate.
A product may impose processing periods, unbonding periods, network waiting periods, maturity dates, early-redemption restrictions, loss of accrued rewards, or other conditions. The applicable product offer will describe material redemption rules.
GroveX may delay or restrict a redemption where reasonably necessary for network operation, security, fraud prevention, sanctions, compliance, legal orders, protocol events, validator events, maintenance, or other circumstances permitted under the general GroveX Terms.
8. Staking, Validator and Slashing Risk
Staking-related products can expose assets or rewards to validator failure, downtime, protocol penalties, slashing, delegation changes, unbonding delays, governance changes, forks, smart-contract failure, protocol exploits, or other network events.
Where a protocol or validator imposes a loss, penalty, or slashing event, the User may bear some or all of the resulting loss to the extent described in the applicable product terms and permitted by law.
9. Market and Asset Risk
Receiving rewards does not protect against a fall in the market value of the underlying Digital Asset. The market value of an asset may decline by more than the value of rewards earned.
Digital Assets can become illiquid, suspended, delisted, impaired, de-pegged, forked, migrated, or technically unsupported.
10. Third-Party and Protocol Risk
GroveX does not control independent blockchains, validators, smart contracts, issuers, protocols, or third-party service providers. Their failure, insolvency, exploit, suspension, rule change, or technical malfunction may affect a product, redemption, principal, or rewards.
11. No Bank Deposit or Guaranteed Investment
Earn and staking products are not bank deposits and are not covered by a government deposit-insurance scheme merely because they are offered through GroveX.
GroveX does not provide investment, legal, accounting, or tax advice and does not guarantee that a product will be profitable or suitable for you.
12. Fees and Taxes
Any GroveX fee, validator fee, protocol fee, network fee, early-redemption adjustment, or other charge applicable to a product will be disclosed where material in the relevant product terms or interface.
Users are responsible for determining their own tax obligations relating to subscriptions, rewards, redemptions, transfers, and asset disposals.
13. Suspension, Changes and Product Closure
GroveX may modify, suspend, close, restrict, or stop accepting new subscriptions to a product where reasonably necessary because of legal or regulatory requirements, protocol changes, security issues, market conditions, liquidity, capacity, validator or third-party events, sanctions, fraud risk, or operational risk.
Where practicable, GroveX will provide notice of material changes affecting existing subscriptions, subject to emergency, security, legal, protocol, or compliance constraints.
14. Risk Acceptance
By subscribing, you acknowledge that you have reviewed the applicable product information and risk disclosures and understand that Digital Assets and yield-generating arrangements can involve partial or total loss.
